Chevalier & Sciales is a Luxembourg law firm that is composed of lawyers who have worked in major law firms in Luxembourg and abroad. Our activities mainly focus on investment funds, structured finance (implementing of securitization transactions), financial law; corporate tax law and incorporation and domiciliation of Luxembourg holding companies. We offer our clients a centralization of services in relation to the set-up of investment vehicles (contact with the Luxembourg regulator, negotiating competitive offers and agreements with the different service providers such as custodian banks, administrative agents and auditors based on our contacts).
SOME RECENTLY HANDLED FILES
- Set-up of umbrella specialized investment fund (SIF) of about 30 million Euro. We have provided a centralised service (legal advice and domiciliation of the SIF). Contact with the Luxembourg regulator (CSSF) and with different intermediaries (banks, auditors) in order to obtain the most competitive and suitable offer;
- Acted as Luxembourg legal counsel in a transaction whereby a company invested in shares through a total return share swap transaction of about 260 million euro. We have in relation hereto (i) drafted the articles of incorporation of the SPV, (ii) drafted the resolutions of the board of the SPV (iii) reviewed the ISDA master agreement and related documents thereto and (iv) issued a legal opinion (examing the impact of the securitization law on the collateral law on financial arrangements);
- Set-up of a SICAR for private equity investments of about 15 million Euro;
- Assisting a US multinational in relation to the contribution of shares of its foreign subsidiairies for an amount of about 210 million USD to a newly created Luxembourg SPV;

Setting-up of investment funds (advice on Luxembourg vehicles such as the SIF (specialized investment fund), the SICAR , the SPF and securitization companies. We are currently involved in the setting of an umbrella SIF ;
Incorporation of Luxembourg companies (see recently signed double tax treaty between Luxembourg and Hong Kong)
